1.Agreement to these terms

These Terms and Conditions ("Terms") are a binding agreement between you and Cubeloop Technologies Private Limited, the company that operates ConstructFlo ("ConstructFlo", "we", "us"). They govern your access to and use of the ConstructFlo web and mobile applications and related services (the "Platform"). By creating an account, accepting an invitation, or using the Platform, you agree to these Terms. If you are using the Platform on behalf of an organisation, you confirm that you are authorised to bind that organisation.

2.Definitions

• "Customer" means the organisation that subscribes to the Platform.
• "User" means an individual authorised by the Customer to access the Platform, such as an engineer, manager, admin, or owner.
• "Customer Data" means the data the Customer and its Users submit to the Platform, including attendance, work reports, materials, drawings, and photos.
• "Subscription" means the plan and term under which the Customer is granted access.

3.The service

Subject to these Terms and payment of applicable fees, we grant the Customer a non-exclusive, non-transferable right to access and use the Platform during the Subscription term for its internal construction operations. We may improve, change, or discontinue features, and will give reasonable notice of material changes that reduce core functionality.

4.Eligibility and accounts

• Users must be 18 or older and provide accurate registration information.
• Each User is responsible for keeping their credentials confidential and for activity under their account.
• The Platform enforces a one-active-session-per-device model; you must not share accounts or attempt to bypass session controls.
• The Customer's administrator manages User access and may add or deactivate Users.

5.Customer data and ownership

As between the parties, the Customer owns all Customer Data. The Customer grants us a limited licence to host, process, and transmit Customer Data solely to provide and support the Platform. We process personal data in line with our Privacy Policy. The Customer is responsible for the accuracy of its data and for obtaining any consents required from its Users, including for GPS-based attendance and site photos.

6.Acceptable use

You agree not to:

• Use the Platform unlawfully or in breach of any applicable regulation.
• Upload content that infringes the rights of others or that you have no right to share.
• Probe, scan, or attempt to gain unauthorised access to the Platform or other organisations' data.
• Reverse engineer, resell, or sublicense the Platform except as permitted by law.
• Interfere with the integrity or performance of the Platform.

7.Subscriptions, fees, and taxes

Access to paid features requires a Subscription as set out in an order or plan agreed with us. Fees are payable in advance and are non-refundable except where required by law or expressly stated. All fees are exclusive of applicable taxes, including GST, which the Customer is responsible for paying. We may revise fees on renewal with prior notice.

8.Intellectual property

The Platform, including its software, design, and trademarks, is and remains the property of ConstructFlo and its licensors. These Terms grant no rights to our intellectual property except the limited right to use the Platform described above. Feedback you provide may be used by us without obligation to you.

9.Third-party services

The Platform relies on third-party services such as cloud hosting and messaging providers. Your use of those services through the Platform may be subject to their terms. We are not responsible for third-party services we do not control.

10.Availability and support

We aim to keep the Platform available and to provide reasonable support, but we do not guarantee uninterrupted access. We may perform maintenance, ideally with advance notice for planned downtime. Support channels and response targets, if any, are described in your plan.

11.Disclaimers

The Platform is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ConstructFlo supports your operations but does not replace your professional judgement, statutory site obligations, or regulatory compliance.

12.Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from the Platform. Our total aggregate liability under these Terms will not exceed the fees paid by the Customer in the 12 months before the event giving rise to the claim.

13.Indemnification

The Customer agrees to indemnify and hold us harmless from claims arising out of its Customer Data, its use of the Platform in breach of these Terms, or its violation of any law or third-party right.

14.Term and termination

These Terms apply while you use the Platform. Either party may terminate a Subscription as set out in the order or for material breach that remains uncured after reasonable notice. On termination, your right to access the Platform ends. We will make Customer Data available for export for a limited period, after which it may be deleted in line with our retention practices.

15.Governing law and dispute resolution

These Terms are governed by the laws of India. The parties will first try to resolve disputes in good faith. Failing that, disputes are subject to the exclusive jurisdiction of the competent courts at Chennai, Tamil Nadu, India.

16.Changes to these terms

We may update these Terms from time to time. We will post the updated version at this URL and, where the change is material, give reasonable notice. Continued use after the changes take effect means you accept the updated Terms.
